We hold the agent seat in Florida only. We would rather know one state completely than sell fifty through a subcontractor.
Every Florida limited liability company and corporation must designate and continuously maintain a registered agent and a registered office in the state. The agent must have a Florida street address identical to the registered office. A post office box will not satisfy the statute.
An LLC that falls out of compliance cannot maintain an action in a Florida court until it cures the defect and pays what it owes the state.

Nothing on this site is legal advice, and nothing you send through this site is protected by the attorney-client privilege unless and until a written engagement is signed.
Legal services
Trademark clearance and opinions, trademark applications and portfolio work, operating agreements, shareholder agreements, contract drafting and any advice about your rights or obligations are legal services. They are provided by H New Media Law International, a Florida law firm, under a separate written engagement letter and a separate fee.
HNM Agents is affiliated with that firm and is owned by a Florida lawyer. We tell you this so there is no confusion about which hat we are wearing on any given matter.

Can I be my own registered agent?
In Florida, yes, if you are an individual with a street address in the state and you are there during business hours. Two problems follow. Your address becomes a public record that anyone can search, and a process server will hand a lawsuit to whoever answers the door, including an employee or a family member, at whatever moment that happens.
I live outside the United States. Can I still own a Florida company?
Yes. Florida does not require an owner to be a US citizen or resident. What it does require is a registered agent with an address inside the state, which is the specific gap we fill. Tax and banking are separate questions and we will tell you plainly when one of them needs a professional we are not.
Do I still have to file a beneficial ownership report?
If your company was formed in the United States, no. A FinCEN final rule effective August 14, 2026 permanently exempted domestic companies and all US persons from beneficial ownership reporting. Companies formed under foreign law that register to do business here still report, and only as to their non-US beneficial owners. If you are a Dominican or Nicaraguan company qualifying to do business in Florida, this still applies to you.
What happens the moment my company is sued?
The process server comes here. We accept service, scan the papers the same day, identify the response deadline, and send you the file with that deadline stated in the message. In Florida a defendant generally has twenty days from service to respond. That clock starts whether or not anyone read the envelope.
How do I move from my current agent?
You do not need to wait for a renewal date or ask permission. We prepare the change of registered agent filing, you sign it, and we submit it. The Florida state fee is $25, and we absorb it for new annual clients.
Is this a mail forwarding or virtual office service?
No. We accept service of process and official correspondence from the state and from federal and state agencies. We are not a commercial mail receiving agency and we do not accept packages, bank statements or general business mail. Keeping the two separate is what keeps the agent address clean.
Will the same person handle my file every time?
Yes. This is a small firm by design. You will not be routed through a ticket queue, and the person who answers in Spanish is the same person who prepared your filing.
Can you also handle my trademark?
Yes, but under a separate engagement with the law firm, because that is legal work. Trademark searching, US and international applications, and portfolio maintenance have been part of this practice for twenty-five years, with a client base concentrated in the cigar industry. Ask and we will quote it directly.
